Can my Doer sign an NDA specific to my business?

We understand that as a Founder, you want to protect your business' best interest. We can totally relate as we would also want the same for our business, so we made sure to take extra steps to secure your business information's confidentiality.

All of our Doers signed a contract with us upon employment. Part of the contract is a Non-Disclosure Agreement to make sure that our Founders’ confidentiality is protected- this covers all the work being done with their Founders and any other information about their Founders’ businesses, including their clients.

Doer's Contract of Employment: NDA Clause

12. CONFIDENTIALITY/NON-DISCLOSURE – The EMPLOYEE acknowledges that they will have access to Confidential Information during your employment.
12.1. During the period of employment by the COMPANY and at all times through thereafter, the EMPLOYEE shall hold in the strictest secrecy and confidence all Confidential Information relating to the COMPANY’s business and affairs which may come to EMPLOYEE’s knowledge.
12.2. Without prejudice to the common law and equitable duties which the EMPLOYEE owe to the Company, EMPLOYEE undertakes to not, at any time during or after the term of his employment with the COMPANY or in any manner, either directly or indirectly, disclose, divulge or communicate to any person, firm or corporation in any manner whatsoever or use for his own benefit any Confidential information.
12.3. The EMPLOYEE must not make copies of, nor allow the copying of, any Confidential Information, whether contained in a document or on digital media (including but not limited to computer disk, CD-ROM, memory stick, video tape or any similar matter including in any electronic format) or remove any such items from the premises of the Company, except with the written authority of the Company which authority will apply in that instance only.
12.4. The EMPLOYEE will take all reasonable steps to maintain the confidential nature of the Confidential Information and must immediately notify the Company of any potential, suspected or actual unauthorized access, disclosure, copying or use of any Confidential Information.
12.5. The restrictions in this clause will continue to apply after the termination of your Employment without limit in time but will cease to apply to any information or knowledge which may come into the public domain other than by any breach of clause 9

Aside from that, there is a confidentiality clause between the Founder and Outsourced Doers in the Service Agreement.

Having said that, we do not allow our Doers to sign an NDA outside their contract.
